The agreement that governs your use of Enterprise Health.
These terms set out the rules for using our website and platform — your rights, your responsibilities, and the limits of ours. Please read them carefully.

- You own your data; we own Enterprise Health, Ozwell AI and our brand.
- PHI is governed by a separate BAA between your organization and MIE.

- Indiana law governs these terms.
Acceptance and eligibility
These Terms of Use (“Terms”) govern your access to and use of the Enterprise Health website at www.enterprisehealth.comand the Enterprise Health platform (collectively, the “Platform”), provided by Medical Informatics Engineering (“MIE,” “we,” “us” or “our”). By accessing or using the Platform, you agree to these Terms.
You must be at least 18 years old and able to form a binding contract. If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. Where your organization has signed an Order Form or Master Services Agreement with MIE, that agreement controls over these Terms to the extent of any conflict.
The Platform and your license
Subject to these Terms and any applicable subscription agreement, MIE grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for your organization’s internal workforce-health and compliance purposes. We may update, improve or modify the Platform over time.
The marketing website is provided for general information about Enterprise Health. Descriptions of features, integrations, certifications and outcomes are provided for informational purposes and do not form a warranty or a binding commitment unless restated in a signed agreement.
Accounts and security
You are responsible for maintaining the confidentiality of your account credentials, for enabling multi-factor authentication where offered, and for all activity that occurs under your account. Notify us promptly of any unauthorized use or suspected security incident. We may suspend or terminate access that we reasonably believe is unauthorized, unlawful or a risk to the Platform or other users.
Acceptable use
You agree not to:
- Use the Platform in violation of any law, regulation or third-party right.
- Access, store or transmit data you are not authorized to handle, or use PHI other than as permitted by the applicable BAA.
- Probe, scan, reverse engineer, decompile or attempt to derive source code, except as permitted by law.
- Introduce malware, interfere with the integrity or performance of the Platform, or attempt to gain unauthorized access.
- Scrape, resell, sublicense or build a competing product from the Platform.
- Misrepresent your identity or affiliation, or remove proprietary notices.
Intellectual property
The Platform, including Enterprise Health, Ozwell AI, all related software, designs, text, graphics, and the names, logos and marks of Enterprise Health and Medical Informatics Engineering, are owned by MIE or its licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted here, no right or license is granted by implication or otherwise. Our brand and identity guidelines are published at /style-guide; please respect them when referencing Enterprise Health.
Customer data and PHI
As between you and MIE, your organization owns the data it submits to the Platform (“Customer Data”). You grant MIE the rights necessary to host, process and transmit Customer Data to provide and support the Platform.
Where Customer Data includes protected health information, MIE acts as a Business Associate and the parties’ Business Associate Agreement (BAA) governs the use, disclosure and protection of that PHI. The BAA controls over these Terms with respect to PHI. We do not sell Customer Data and do not use it to train AI or machine-learning models.
Third-party services and integrations
The Platform may interoperate with third-party systems — such as EHR, HRIS, identity and laboratory services — that you choose to connect. Your use of those services is governed by their own terms, and MIE is not responsible for third-party services or for data you direct us to exchange with them. Links from our website to third-party sites are provided for convenience and are not an endorsement.
Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free or secure, or that defects will be corrected.
Content on the Platform is for general informational purposes and is not medical, legal, regulatory or compliance advice. You are responsible for determining how applicable laws and standards apply to your organization and for obtaining professional advice where appropriate.
Limitation of liability
To the maximum extent permitted by law, MIE and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to your use of the Platform, even if advised of the possibility of such damages. MIE’s total aggregate liability arising out of or relating to the Platform will not exceed the amounts your organization paid to MIE for the Platform in the twelve months preceding the event giving rise to the claim, or if no such amounts were paid, one hundred U.S. dollars (US$100). Nothing in these Terms limits liability that cannot be limited under applicable law. A signed subscription agreement may set different limits, which will then control.
Indemnification
You agree to defend, indemnify and hold harmless MIE and its affiliates, officers and employees from and against any claims, damages, liabilities and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Platform, your violation of these Terms, or your violation of any law or third-party right, except to the extent caused by MIE’s own gross negligence or willful misconduct.
Governing law and disputes
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to a signed agreement’s dispute-resolution terms will be the state and federal courts located in Allen County, Indiana, and you consent to their jurisdiction. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
Changes to these terms
We may update these Terms from time to time. We will post the updated Terms on this page and revise the “Last updated” date above; material changes will be communicated more prominently where appropriate. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
